Terms of Service
Please read these Terms of Service ("Terms") carefully before using any websites, products, or services operated by Roaming Panda Inc. ("Roaming Panda"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Services
Roaming Panda Inc. provides software products, hardware products, and consulting services including but not limited to: Solrove (smart RV lighting), Pith (agent-first memory and hosting platform), Kepira (on-device activity recall), and associated websites and applications. Specific terms may apply to individual products and will be presented at the time of use.
2. Eligibility
You must be at least 13 years of age to use the Services. By using the Services, you represent that you meet this requirement. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
Some Services require you to create an account. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying Roaming Panda promptly of any unauthorized use
Roaming Panda reserves the right to terminate accounts that violate these Terms or that have been inactive for an extended period.
4. Acceptable Use
You agree not to use the Services to:
- Violate any applicable law or regulation
- Infringe the intellectual property rights of others
- Transmit harmful, offensive, or fraudulent content
- Attempt to gain unauthorized access to Roaming Panda's systems or other users' accounts
- Interfere with the proper operation of the Services
- Reverse engineer, decompile, or disassemble any portion of Roaming Panda's software
- Use automated means to scrape or access the Services in a manner that exceeds reasonable use
5. Intellectual Property
All content, software, designs, trademarks, and other materials provided through the Services are owned by or licensed to Roaming Panda Inc. You may not copy, reproduce, distribute, or create derivative works from Roaming Panda's intellectual property without express written permission.
You retain ownership of any content you submit through the Services. By submitting content, you grant Roaming Panda a limited, non-exclusive license to use that content as necessary to provide the Services to you.
6. Payment and Subscriptions
Where the Services include paid features or subscriptions, additional payment terms will be presented at checkout. All fees are in US dollars unless otherwise stated. Subscriptions renew automatically unless cancelled before the renewal date. Refund policies are stated at the point of purchase.
7. Disclaimers
The Services are provided "as is" and "as available" without warranty of any kind, express or implied. Roaming Panda does not warrant that the Services will be uninterrupted, error-free, or free of harmful components. Roaming Panda disclaims all warranties to the maximum extent permitted by applicable law.
8. Limitation of Liability
To the maximum extent permitted by law, Roaming Panda Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services, even if Roaming Panda has been advised of the possibility of such damages. Roaming Panda's total liability to you for any claims arising from these Terms or the Services shall not exceed the amount you paid Roaming Panda in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify, defend, and hold harmless Roaming Panda Inc. and its officers, directors, employees, and agents from any claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your use of the Services or your violation of these Terms.
10. Third-Party Links
The Services may contain links to third-party websites or services. Roaming Panda is not responsible for the content, privacy practices, or terms of those third parties. Visiting linked sites is at your own risk.
11. Changes to These Terms
Roaming Panda may modify these Terms at any time. Roaming Panda will provide notice of material changes by updating the "Last updated" date above and, where appropriate, by email or notice on its website. Continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
12. Termination
Roaming Panda reserves the right to suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may stop using the Services at any time. Upon termination, provisions that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and indemnification) will continue to apply.
13. Governing Law
These Terms are governed by the laws of the State of Oregon, United States, without regard to its conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Portland, Oregon.
